Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and ChainPeace Ltd, a company registered in England and Wales (“ChainPeace”, “we”, “us”). They govern your access to and use of our website, web application, APIs and related services (the “Service”). By creating an account or using the Service you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.
1. Eligibility & accounts
- You must be at least 18 years old and able to form a legally binding contract under English law.
- You are responsible for the accuracy of your registration information and for keeping your credentials (including MFA factors) secure. Notify us immediately of any suspected compromise.
- You are responsible for all activity under your account.
2. The Service
ChainPeace provides software for managing UK residential property chains, including chain visualisation, messaging, milestones, document handling and referrals. Functionality may evolve; we may add, remove or modify features provided that material changes will not materially degrade paid functionality during your current billing period.
3. Subscriptions, billing and add-ons
- Paid plans and add-ons are described on our pricing page or in the in-app checkout. Prices are in GBP and inclusive of UK VAT where applicable.
- Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
- Card processing is handled by Stripe Payments UK Ltd. By providing payment information you authorise us (via Stripe) to charge the agreed fees.
- Except where required by law (including statutory rights under the Consumer Rights Act 2015 for consumers), fees are non-refundable. Add-ons consumed in part are not refundable.
- Consumer cancellation right. If you are a consumer in the UK, you have 14 days from purchase to cancel under the Consumer Contracts Regulations 2013. By starting to use a digital service within that period you expressly agree to begin immediate performance and acknowledge you lose the right to cancel once performance has begun.
- We may suspend or terminate access for unpaid invoices after written notice.
4. Acceptable use
You agree not to, and not to permit any third party to:
- use the Service for any unlawful, fraudulent, harmful, defamatory or infringing purpose;
- upload content that infringes intellectual property, privacy or other rights;
- upload malware, attempt to gain unauthorised access, or interfere with the integrity of the Service;
- scrape, harvest or systematically copy the Service except via documented APIs;
- reverse engineer, decompile or attempt to derive source code except to the extent permitted by law;
- resell, sublicense or white-label the Service without a written agreement;
- use the Service to send spam or unsolicited communications in breach of PECR;
- use AI features to generate content that violates applicable law or third-party rights.
We may suspend any account that we reasonably believe is in breach, and may report unlawful activity to the competent authorities.
5. Your content
- You retain all rights in the content you submit (“Customer Content”). You grant us a worldwide, royalty-free licence to host, copy, transmit, display and process Customer Content solely to provide and secure the Service.
- You warrant that you have the rights and lawful basis to upload Customer Content and to share it with third parties via the Service.
- Where Customer Content includes personal data of third parties, our Privacy Policy and the Data Processing Agreement available on request apply.
6. Intellectual property
The Service, including all software, designs, trademarks (“ChainPeace”), text, graphics and the arrangement thereof, is owned by ChainPeace or its licensors and is protected by UK and international intellectual property laws. Except for the limited right to use the Service as set out in these Terms, no rights are granted to you.
7. Third-party services and integrations
The Service may integrate with third-party services (e.g. CRMs, identity providers, payment processors). Your use of those services is governed by their own terms. We are not responsible for third-party services and disclaim all warranties in respect of them to the maximum extent permitted by law.
8. Service availability & support
We aim for high availability but do not warrant uninterrupted access. Planned maintenance will be notified in advance where reasonably practicable. Support is provided by email at support@chainpeace.com during UK business hours; enterprise SLAs are agreed separately in writing.
9. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we exclude all warranties, conditions and representations (whether express, implied, statutory or otherwise) including any warranty of merchantability, fitness for a particular purpose, non-infringement and accuracy. The Service is a productivity tool and does not constitute legal, financial, conveyancing, surveying or regulated advice.
10. Limitation of liability
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under English law.
Subject to the above:
- Neither party is liable for indirect, special, incidental, punitive or consequential losses, or for loss of profits, revenue, goodwill, opportunity, anticipated savings, business or pure economic loss;
- Our aggregate liability arising out of or in connection with these Terms (whether in contract, tort (including negligence), breach of statutory duty or otherwise) is capped at the greater of (i) £100 and (ii) the fees paid by you to us in the 12 months preceding the event giving rise to the claim.
11. Indemnity
You will indemnify and hold us harmless from any third-party claim arising out of your Customer Content, your use of the Service in breach of these Terms, or your violation of applicable law.
12. Termination
- You may close your account at any time from the Settings area. Paid subscriptions remain payable to the end of the then-current billing period.
- We may suspend or terminate your account on notice for material breach (including non-payment) or immediately for serious breach or unlawful use.
- On termination, your right to use the Service ends. We will, on written request received within 30 days, provide a one-off export of your data in a machine-readable format.
13. Confidentiality
Each party will protect the other’s confidential information using at least the same standard of care it uses for its own (and never less than a reasonable standard). This clause survives termination.
14. Changes to the Service or Terms
We may amend these Terms. Material changes will be notified by email and/or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept the changes, you may cancel your subscription and we will refund any prepaid fees for the unused portion.
15. Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control (e.g. outages of upstream providers, natural disasters, acts of government).
16. Governing law & jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that consumers may bring proceedings in the courts of their place of residence as permitted by mandatory law.
17. General
- If any provision is held unenforceable, the remainder remains in effect.
- No waiver is effective unless in writing. No partnership, agency or joint venture is created.
- You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a corporate transaction.
- These Terms (together with the Privacy Policy, Cookie Policy and any order form) constitute the entire agreement and supersede prior agreements on the same subject matter.
